1) Terms and Conditions
These Terms and Conditions between Nicholas Scott Legal Services Limited (the "Company") and the employer (the "Client') are deemed to be accepted by the Client from the time of a request from the Client to interview a Candidate introduced by the Company. For the purposes of this clause the word "introduced" shall be deemed to include without limitation the provision by the Company of any details whether written or oral of a Candidate. For the purpose of these terms the word "engaged" shall be deemed to include without limitation the acceptance of a Candidate's services whether direct or indirect. Neither the Company nor the Company's staff or associates shall be responsible for any loss or liable for any damage caused to the Client, its staff or property as the result of an introduction effected by the Company, the Company's staff or associates. The Company cannot guarantee to fill a vacancy.
The Company's fees are based upon a percentage of the Candidate's agreed annual remuneration to include salary, plus any guaranteed bonuses, commissions, allowances or other cash elements that may make up the first year's agreed remunerative package. The Client is liable to pay the Company's fees in respect of the engagement of a Candidate introduced by the Company at any time up to 12 months from the date of such introduction or from the date of the Client's last interview with the candidate, whichever is the later. The Company's introductory fees and other charges, which shall be paid without any deduction whatsoever within 30 days of the date of the Company's invoice, are calculated as follows:
Recruitment Fee: 25 % of candidate’s first year guaranteed salary
All invoices are payable within 30 days of the date of the invoice.
If the payment is not made within the 30 days the Client may be required to pay interest on the amount due under the invoice of 2% above Bank of England’s base rate from time to time.
If the Candidate’s employment is terminated within the ‘Probation Period’ Nicholas Scott will reimburse the Client. No rebate will be payable to the Client if: 1) the Candidate is made redundant 2) if the cause of termination has no bearing on the Candidate’s ability, integrity or character 3) if the Client fails to pay the invoice within 30 days of the date of the invoice 4) if the Client fails to notify Nicholas Scott in writing within 14 days of the termination of employment
Rebate Fees forProbation Period of 180 days:
(a)end of employment within 30 days of commencement – 75 % refund of Fee;
(b)end of employment between 31 and 90 days of commencement – 50% refund of Fee; or
(c)end of employment between 91 and 180 days of commencement - 25% refund of Fee.
Rebate Fees for Probation Period of 90 days:
(a)end of employment within 30 days of commencement – 75% refund of Fee;
(b)end of employment between 31 and 60 days of commencement – 50% refund of Fee; or
(c)end of employment between 61 and 90 days of commencement – 25 % refund of Fee.
5) The Contracts (Rights of Third Parties) Act 1999:
The parties to this Agreement do not intend that any term of this Agreement should be enforceable, by virtue of the Contracts (Rights of Third Parties) Act 1999, by any person who is not a party to this Agreement.
If at any time any provision of this Agreement is or becomes illegal, invalid or unenforceable in any respect under the law of any jurisdiction, that shall not affect or impair:
a) the legality, validity or enforceability in that jurisdiction of any other provision of this Agreement; or
b) the legality, validity or enforceability under the law of any other jurisdiction of that or any other provision of this Agreement.
7) Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with English law. The courts of England are to have exclusive jurisdiction to settle any dispute, whether contractual or non-contractual, arising out of or in connection with this Agreement
These terms cannot be varied, except in writing by a director of the Company
